Terms of Service

These terms govern access to and use of AyrisIQ (the "Service"), currently provided by AyrisIQ Ltd while registration of AyrisIQ Ltd is completed. The terms will be updated with the company number when Companies House issues it. By requesting access to, or using, the Service you agree to these terms on behalf of the organisation you represent.

Who can use AyrisIQ

AyrisIQ is invite-only. Access is granted to organisations we've agreed to work with, and to individuals authorised by that organisation. You must be authorised to act on your organisation's behalf and old enough to enter into a contract to use the Service.

What AyrisIQ is — and isn't

AyrisIQ brings your organisation's governance documents, evidence and records into one workspace and helps you understand what's current, what's missing, and what needs action. AyrisIQ is a support tool: it does not replace your organisation's own professional, clinical, legal or regulatory judgement, and using AyrisIQ does not itself guarantee compliance with CQC or any other regulatory requirement.

AI features are advisory

AyrisIQ's AI features produce suggestions, not decisions. AI output may be incomplete or wrong, and is not a substitute for the professional judgement of your practice's staff. Nothing AI-generated becomes part of your governance record until a named member of your team has reviewed and approved it. Responsibility for the content of published policies and records remains with your organisation.

Your account and users

  • You're responsible for keeping login credentials confidential and for activity under your account.
  • Access within your organisation's workspace is role-based — you're responsible for granting the right level of access to the right people.
  • Tell us promptly if you suspect unauthorised access to your workspace.

Acceptable use

You agree not to:

  • upload patient-identifiable information — AyrisIQ is built to hold governance and assurance documents, not clinical or patient records;
  • use the Service unlawfully, or in a way that could damage, disable or impair it;
  • attempt to bypass any security, access control or rate-limiting measures; or
  • use the Service to build a competing product.

Your content

Your organisation owns the documents, records and other content it uploads to AyrisIQ ("Customer Content"). You grant us the right to process Customer Content solely to provide, maintain and improve the Service for your organisation, as described in our Privacy Policy. We never overwrite an original document — every change creates a new, traceable version, and nothing changes without a person's approval.

Availability and changes

AyrisIQ is under active development. We aim to keep the Service available and reliable but don't guarantee uninterrupted access, and features may change as the product evolves. We'll aim to give reasonable notice of changes that materially affect how your organisation uses the Service.

Fees

Pricing is agreed individually with each organisation based on size and needs, as set out in your order form or separate written agreement with us.

Intellectual property

AyrisIQ and its underlying software, design and technology remain our property (or that of our licensors). Nothing in these terms transfers ownership of AyrisIQ's platform to you or your organisation.

Confidentiality

Each party will keep the other's confidential information confidential and use it only as needed to perform under these terms, except where disclosure is required by law.

Ending access

Either party may end access to the Service in line with the agreement between us. On ending access, we'll work with your organisation on exporting or deleting your Customer Content within a reasonable period, subject to any legal or audit retention requirements.

Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited or excluded by law. Subject to that, our liability to you for losses arising from your use of the Service is limited as set out in the written agreement between us; we are not liable for indirect or consequential losses.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.

Changes to these terms

We may update these terms from time to time. Material changes will be reflected by an updated "last updated" date at the top of this page, and where practical we'll let existing customers know directly.
